PEO requirements

The requirements on a professional employer organisation come from two directions, and buyers routinely conflate them. Federal requirements attach to certification and are voluntary but consequential. State requirements attach to registration or licensing and vary considerably. Neither is a quality standard, and both are worth checking.

Federal: certification, and what it demands

Certification by the Internal Revenue Service is voluntary. An organisation that seeks it must meet requirements including bonding and annual independent financial reporting, and in return the IRS treats it as solely liable for federal employment taxes on wages it pays to worksite employees under a qualifying contract. That liability shift is the substance. The IRS maintains a public listing of certified organisations, which is the record to check rather than a provider's own claim.

State: registration and licensing

Many states require a professional employer organisation to register or hold a licence before operating there, with requirements that differ by state and change over time. Ask a provider which registration it holds in each state where you have employees, and verify rather than accept a general assurance, particularly if you are adding a state the provider has not previously served for you.

What is not a requirement

Industry association membership, accreditation schemes run by private bodies and any badge on a website are voluntary and vary in what they demand. They can be informative and none of them is a regulatory requirement. Read them as signals, and put the IRS listing and state registration ahead of all of them.

Questions people ask about peo requirements

What requirements must a PEO meet?

Federal certification is voluntary and carries bonding and independent financial-reporting obligations; state registration or licensing is required in many states and varies. Neither is a quality rating.

Do all PEOs have to be certified?

No. Certification by the IRS is voluntary, and many organisations operate without it. What certification changes is liability for federal employment taxes on the wages the organisation pays under a qualifying contract.

How do I verify a PEO's status?

Use the IRS public listing for certification, checking the legal entity named in your contract rather than the brand, and ask the provider for its state registration in each state where you have employees.
